INDICE BOURSIER ; REMUNERATION ; ENTREPRISE ; CADRERésumé : This study examines the integration of CSR contracting in executive remuneration policy and its possible link with a company’s better performance in the CAC40 index compared to the other firms. We test this proposition for a sample of ten French listed companies belonging to the CAC40 and which have adopted mature CSR targets in their executive compensation. Then, we have compared stock excess returns and CSR/ESG ratings of the ten selected companies from January 2009 to January 2020 with the remaining 30 CAC40 companies. Then, we prove that the incorporation of CSR targets in executive compensation plan leads not always to stock outperformance but firms with advanced CSR contracting have more chance to be better rated regarding extra financial performance although the link may be indirect. HOTELLERIE SECTEUR ; INDUSTRIE DU LUXE SECTEUR ; PROTECTION DE L'ENVIRONNEMENT ; ENTREPRISE DE SERVICESRésumé : Purpose – The objective of this paper is to enhance knowledge about eco-friendly luxury hospitality and to propose a way luxury hotels can provide perfect service standards while being sustainable and saving resources at the same time, considering the hard time luxury hotels are going through during Covid19.
Methodology – This paper is built on a review of prior theoretical contributions that relies on qualitative methodology. Interviews on different managers who are currently working in luxury hotels have been analysed in order to help to answer the general question.
Findings – A list of eco-friendly practices that require small or none investments are provided after analyzing data. The interviews evaluate those findings and confirmed them as appropriate to be used in a luxury environment. Proactive and trustworthy implementation of those activities enables luxury hotels to achieve increasing benefits no matter their size, classification and target audience.
The originality of the research – the study can help to understand how environmentally conscious hotel management establishes a suitable setting for luxury hotels. CONTROLE DE GESTION ; ENTREPRISE ; JURISPRUDENCE ; PMERésumé : La problématique de ce seminar paper repose sur les nouvelles difficultés des entreprises depuis la fin du commissariat aux comptes à la suite de l’application de la loi PACTE et particulièrement de son article 9. Cette loi est en application depuis le 11 Avril 2019.
On s’intéresse dans un premier temps au différentes entreprises françaises qui sont concernées par ce changement et comment ces dernières réagissent à ce changement en fonction de leur situation de gestion.
Dans un deuxième temps, on soulève l’importance de la mission du commissaire aux comptes et les nouveaux risques auxquels les entreprises vont faire face sans le commissaire aux comptes.
Dans un troisième temps, on montre que des solutions existent face aux nouvelles difficultés des entreprises mais que ces solutions peuvent être coûteuses ou difficiles à mettre en place. More than the importance of the transaction in the reorganization of the global luxury landscape, it is the amount committed by LVMH that is of concern. As a matter of fact, the transaction amounts to more than 16 billion euros. "The financing of this acquisition was carried out through a credit facility of nearly 15 billion euros. This transaction is one of the main credit operations carried out this year on the European debt market, as well as one of the largest buyout operations in the luxury goods sector"1. The LVMH-Tiffany & Co transaction thus takes the form of an LBO (leveraged buyout), one of the largest in recent years. The amount of credit raised highlights the significant strike force of leverage in buyouts.
