INDICE BOURSIER ; REMUNERATION ; ENTREPRISE ; CADRERésumé : This study examines the integration of CSR contracting in executive remuneration policy and its possible link with a company’s better performance in the CAC40 index compared to the other firms. We test this proposition for a sample of ten French listed companies belonging to the CAC40 and which have adopted mature CSR targets in their executive compensation. Then, we have compared stock excess returns and CSR/ESG ratings of the ten selected companies from January 2009 to January 2020 with the remaining 30 CAC40 companies. Then, we prove that the incorporation of CSR targets in executive compensation plan leads not always to stock outperformance but firms with advanced CSR contracting have more chance to be better rated regarding extra financial performance although the link may be indirect. PERFORMANCE ; REMUNERATION ; RESPONSABILITE SOCIALE DE L'ENTREPRISE ; ETHIQUE ; MANAGERRésumé : Nowadays, CSR measures are playing an increasingly important role in assessing a company's performance. For the sake of transparency, managers are now called upon to communicate around a socially responsible decision system. Thus, all the decisions and impacts (positive and negative) of the activity of the company affecting all or part of its stakeholders are taken into account and mentioned in the activity report of the companies. In this perspective, the purpose of this paper is to observe how the structure of CEO compensation can have an effect on a firm's corporate social responsibility (CSR) performance. Based on a sample of 1,624 US public firms, results reveal a positive and significant relationship between a firm's CSR performance and CEO total compensation, as predicted by agency theory. More precisely, we note on the one hand, an important positive correlation between long-term incentives and CSR performance and on the other hand, a negative correlation between short-term incentives and CSR performance. In the light of the theories and the results obtained, we suggest that a socially responsible company should be managed by managers who seek to maximize the profits of the shareholders, but as far as possible, should also respect the laws and include the impact on other stakeholders into their decision-making. ART ; FRANCE ; MARKETING STRATEGIQUE ; MUSIQUE ; REMUNERATION ; STRATEGIE ; INDUSTRIE CULTURELLE SECTEURRésumé : This academic article is meant to give a nuanced reflection about the pop and folk music industry in France, placing the artist’s choices, strategies and scope of action at the center of the analysis. To do so, it is important to understand the forces at work in the « commercial pole » of the music industry. These forces are likely to have an influence on musicians’ creation processes, with or without them to be conscient about them. It is also crucial to understand what strategies can be developed by the artists in a hostile environment such as the music sector in which they progress. An empirical research is required in order to enable musicians to express themselves about their vision of the industry, how they are willing to build they careers, their yearnings, their conception of success, authenticity and the compromises they agree to make in order to maintain their carrer from an economic point of view. Finally, this article is just as much meant, in the end, to deconstruct prejudices about the figure of the musician in our society and soothe the passions that hit a fantasised industry. MANAGER ; COMPENSATION ; PARTICIPATION ; REMUNERATIONRésumé : The purpose of this seminar paper is to study corporate governance and more specifically the compensation of the CEOs of these companies. The study around my seminar paper focuses on the compensations’ differences between French CEOs and American CEOs. So, I chose to use the largest French companies listed on the CAC40 and the largest American companies listed on the S &P 500, reducing the scope to the 40 biggest firms in the US in order to have the same weighting for both markets. In more depth, I sought to know the base salary, plus the bonuses so as to know the total compensation structure and thus compare them. The differences in remuneration are large on both sides of the Atlantic, but the size of companies also varies. I therefore used linear regression to compare the compensation more fairly, knowing that American companies were basically larger than French companies. With this linear regression I wish to go further than the quantitative and qualitative studies that I did in the first part but also to make the data comparable between France and United States because as I said above the American companies are well larger than French companies.
This study led me to find similarities between French and Americans’ compensations, however, there are notable differences, starting with the size of these, $ 200 million in the United States against $ 18 million in France. The differences are sometimes large, but similarities exist notably when we look at the figures extract with linear regressions which shows that for $ 1 of revenue for the company represents $ 0.007600 of additional compensation for the French CEO and $ 0,000064 for American CEOs. We will go further in the study during this seminar paper and we will try to understand what influences the allocation of certain components of the remuneration such as Restricted Stock or even the share or the Cash. / Sarah DAMIOT / 2019
