FUSION ACQUISITION ; GESTION DES RESSOURCES HUMAINES ; MANAGEMENT INTERCULTURELRésumé : Ce Seminar paper a pour sujet la gestion des dimensions humaines et culturelles lors d’une fusion-acquisition. Tout d’abord, la revue académique nous amènera à nous interroger sur trois hypothèses. La première porte sur la non prise en compte des dimensions humaines et culturelles dans les fusions acquisitions, alors que ces dernières sont sources d’échecs. Nous allons montrer que la valeur actionnariale n’est pas le seul facteur à prendre en considération pour assurer une réussite. La deuxième souligne le caractère bénéfique et dynamique d’un processus d’intégration. Enfin, la troisième évoque la contribution du management interculturel à la réussite d’une fusion-acquisition. Par un dispositif empirique visant à interroger des consultants et des personnages ayant vécu l’expérience, nous avons cherché à valider nos hypothèses sur le terrain. Les consultants dans le domaine des M&A et les personnes ayant vécues l’expérience considèrent que les facteurs humains et culturels sont sources d’échec s’ils ne sont pas pris en compte. Pour eux, cette prise en compte doit s’inscrire dans un processus dynamique et graduel mais la pression temporelle est forte, ainsi cette dernière est à prendre en considération. Enfin, l’intégration par le management interculturel contribue à la performance lorsqu’il parvient à réconcilier deux cultures.
