SYNERGIERésumé : This Dissertation aims to understand why over 70-90% of M&A deals do not create value for shareholders and therefore fail. To be able to understand this issue and find possible operational recommendations, it is first important to understand the main reasons for M&A failures and how they affect and destroy shareholder value. Those reasons can be put into three categories, the ones linked to management, the ones linked poor integration and the ones linked to external factors. These reasons show that there are a lot of pitfalls for M&A transactions which explain the very high failure rate. Despite such a high failure rate, the number and value of deals has been trending up for the past 30-40 years. For this reason, this paper also goes in more depth on why there are still so many M&A deals despite the high failure rate. And, both shareholders and executives have a role to explain this situation.Indeed, they tend to favour external growth over organic growth, but other reasons include executives’ overconfidence in the deal and in their abilities to successfully integrate the target company. After having questioned and reviewed the reasons for deal failures and the number of deals, this paper aims to present operational recommendations for successful M&A deals. These recommendations include understanding the business model of the target, guidelines to create value and recommendations regarding the right price to pay and the various integration methods. LBO ; CYCLE ECONOMIQUE ; PERFORMANCE ; DETTERésumé : Against the backdrop of the financial instability hypothesis (FIH) theorized by Minsky and the explosion of leverage buyouts deals, this paper aims to study the impacts of this financial model on the value creation since its beginnings in 1980. More precisely, the objective is to determine whether the gains generated by this financial model come from hedge financing, speculation, or Ponzi schemes. The flourishing literature on LBOs since the 80s allows us to better understand their functioning within their cyclic industry. Although many authors defend the interest of LBOs as a catalyst for value creation, many also emphasize both the fragility of the LBO model and its internal limitations. This study aims to identify the different levers of value creation and how to measure it. After a review of the theoretical methods, this paper focuses on the case of Legrand. The company has been bought by two investment funds, Wendel and KKR, in 2002, after the bursting of the Internet bubble. We will measure the impact of the funds on value creation during the investment period. Lastly, the limits to value creation and, more generally, to the LBO model will be discussed. FUSION ACQUISITION ; INTERNATIONAL ; ENTREPRISE ; TEXTILE SECTEURRésumé : Le 11 Octobre 2016, le groupe de textile chinois Shandong Ruyi a finalisé l’acquisition de SMCP, le groupe qui contrôle les marques Sandro, Maje et Claudie Pierlot, et a réussi à obtenir 70% du groupe pour une valeur de 1,3 milliards d’euros. Dès 2010, le groupe Shandong Ruyi a commencé à acheter des marques de prêt-à-porter à l’étranger. En investissant plus de 4 milliards d’euros au total, le groupe a acquis Renown du Japon, Peine Gruppe de l’Allemagne, SMCP de la France, Trinity du Hongkong, Aquascutum de l’Angleterre, Bagir de l’Israël, Bally de la Suisse et Invista des Etats-Unis.
Le présent travail étudie principalement l’impact des opérations de fusions-acquisitions internationales sur la croissance des entreprises et plus précisément l’acquisition de SMCP par Shandong Ruyi. Les parties de la thèse se décomposent comme suit : l’introduction est consacrée à la description du contexte théorique et empirique du sujet. La première partie de la thèse a pour objectif de définir l’opération de fusion-acquisition ainsi que ses caractéristiques. Ensuite, la deuxième partie traite la méthodologie et les hypothèses à analyser au cours de cette étude, et qui ont été fixées après avoir décortiqué les rapports annuels financiers de la cible et l’acquéreur, et après avoir interrogé les professionnels sur leurs expériences et leurs opinions.
