By comparing and cross-studying two countries that are France and UK over a period of five years that goes from 2014 to 2018, the present paper has the purpose of explaining how the board of directors’ characteristics relate and influence the capital structure. This study focuses on the proportion of outsiders in the board of directors, the double function of the chief executive officer as the chairman of the board and whether there is or not a board indemnification as independent variables to explain the capital structure. The study uses a panel multiple regression model using R for the analysis. It shows evidence that for France, there is only a moderate influence of the CEO duality on the capital structure, while in the UK, there is a strong influence of both the board composition of external directors and the CEO duality. This is aligned with the fact that the two countries provide different quality of investors’ protection, considered improved in the UK than in France. Nevertheless, the results are concluded under the assumption that the current information about the board of directors applies to the 5 years that cover the scope of the study (2014-2018). |
